Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the services of Website Designers Kenya ("us", "we", or "our").

Your access to and use of our services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, clients, and others who wish to use our services.

By engaging our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not use our services.

1. Services

Website Designers Kenya provides professional website design, development, hosting, domain registration, and related digital services. The specific scope of work, deliverables, and timelines will be outlined in a separate proposal or agreement provided to the client.

2. Payment Terms

2.1 Pricing: All prices are quoted in Kenyan Shillings (KES) and are exclusive of any applicable taxes unless stated otherwise.

2.2 Deposits: A non-refundable deposit of 50% is required before work commences on any new project. The remaining balance is due upon completion and before the website is deployed to a live server.

2.3 Payment Methods: We accept payments via MPESA, bank transfer, or other methods as agreed. Payment details will be provided on the invoice.

2.4 Late Payments: If payment is not received by the due date, we reserve the right to suspend work or withhold delivery of completed work until full payment is made.

3. Client Responsibilities

To enable us to deliver the project efficiently, the client agrees to:

• Provide all necessary content (text, images, logos, etc.) in a timely manner.
• Respond promptly to requests for feedback or approvals.
• Ensure they have the legal right to use any materials provided to us.
• Cooperate with our team to achieve the project goals.

4. Intellectual Property Rights

4.1 Ownership: Upon full payment, the client owns the final design and content created specifically for them. However, we retain the right to display the work in our portfolio and promotional materials.

4.2 Third-Party Assets: Any third-party software, images, fonts, or libraries used in the project remain the property of their respective owners and are subject to their licenses.

4.3 Source Code: Custom-developed code is owned by the client upon final payment, unless otherwise agreed in writing. We do not claim ownership of any open-source components used.

5. Third-Party Services

We may recommend or integrate third-party services (e.g., payment gateways, hosting providers, analytics tools). We are not responsible for the performance, reliability, or terms of those services. Clients should review their terms independently.

6. Confidentiality

We will treat all client information (including business data, login credentials, and project details) as confidential and will not disclose it to third parties except as necessary to provide the services or as required by law.

7. Limitation of Liability

To the maximum extent permitted by law, Website Designers Kenya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services.
• Any conduct or content of any third party on or through our services.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claim arising out of or relating to our services shall not exceed the amount paid by you for the services in the past six months.

8. Indemnification

You agree to indemnify and hold harmless Website Designers Kenya, its employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of our services, violation of these Terms, or infringement of any third-party rights.

9. Termination

We may terminate or suspend access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the services will cease immediately. The provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
